These Terms of Service ("Terms") govern your access to and use of the Ayisyen Konekte mobile application, website, and related services (collectively, the "App") provided by Ayisyen Konekte LLC ("Ayisyen Konekte," "we," "us," or "our").

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.

1. Eligibility and Acceptance of Terms

1.1 Eligibility

You may use the App only if:

You are at least 16 years old; and
You have the legal capacity to enter into a binding agreement; and
You are not barred from using the App under any applicable law.

If you are at least 16 but under the age of majority in your jurisdiction, you may use the App only with the consent and supervision of a parent or legal guardian and only if such use is permitted under applicable law.

1.2 Acceptance

By creating an account, accessing, or using the App, you:

Acknowledge that you have read and understood these Terms; and
Agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not use the App.

2. Description of the Service

Ayisyen Konekte is a community platform designed to connect users with the Haitian community worldwide. The App enables users to, among other things:

Discover and share information about events;
Find and connect with local businesses;
Listen to Haitian radio stations;
Post and browse job listings;
Create and interact with community posts;
Access free and premium (subscription-based) features.

We may add, modify, or remove features from time to time, at our discretion.

3. User Accounts

3.1 Account Creation

To access certain features of the App, you must create an account.

You may sign in using third-party authentication providers such as Google Sign-In or Apple Sign-In.
You must provide accurate, current, and complete information when creating your account and keep it updated.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activities that occur under your account.

We reserve the right to refuse registration, suspend, or terminate any account that violates these Terms or applicable law.

3.2 Account Security

You agree to:

Notify us immediately at support@ayisyenkonekte.com of any unauthorized access to or use of your account; and
Exit your account at the end of each session on shared devices.

We are not liable for any loss or damage arising from failure to comply with these obligations.

4. User-Generated Content

4.1 Content You Post

The App allows you to create, upload, submit, post, or otherwise make available content, which may include text, images, logos, business profiles, events, radio listings, job postings, and other materials ("User Content").

You retain ownership of your User Content.
By submitting User Content, you grant Ayisyen Konekte a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content in connection with operating, improving, and promoting the App.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any rights of any third party.

This license continues for as long as your User Content is available on the App and for a reasonable period thereafter for backup, archival, and legal purposes.

4.2 Content Guidelines

You agree not to upload, post, or otherwise make available User Content that:

Is illegal, harmful, deceptive, or otherwise violates any law or regulation;
Infringes or misappropriates the intellectual property, moral, privacy, publicity, or other rights of any person;
Contains hate speech, harassment, threats, discrimination, or incitement to violence;
Is defamatory, obscene, pornographic, sexually explicit, or otherwise inappropriate;
Is spam, fraudulent, or misleading;
Contains personal or sensitive information about others without their consent;
Promotes violence, self-harm, or illegal activities.

You are solely responsible for your User Content and for any consequences of posting or publishing it.

4.3 Content Moderation

We reserve the right, but do not have the obligation, to:

Review, monitor, edit, or remove any User Content in our sole discretion;
Suspend, restrict, or terminate accounts that we believe violate these Terms or applicable law;
Take any action we deem appropriate to protect Ayisyen Konekte, our users, or the public.

We do not guarantee that any objectionable content will be removed and we do not endorse any User Content.

5. Subscriptions, Payments, and Refunds

5.1 Subscription Plans

The App may offer free and paid subscription plans that provide access to additional features (the "Premium Features").

Subscription fees and offerings are displayed in the App and may vary by region or platform.
We may change subscription plans and pricing from time to time, with changes taking effect at the next billing period unless otherwise stated.

5.2 Billing and Renewal

Subscription fees are billed through third-party platforms such as the Apple App Store or Google Play Store.
Subscriptions generally renew automatically at the end of each billing period unless you cancel at least 24 hours before the end of the current period (or as specified by the relevant app store).
You can manage or cancel your subscription through your app store account settings.
Cancellation is effective at the end of the current billing period; no refunds are provided for partial billing periods unless required by law or app store policy.

5.3 Premium Features

Premium subscriptions may include, for example:

Featured placement for businesses, events, and radio stations;
Unlimited job postings and feed posts (subject to technical or policy limits);
Priority support and special badges or labels;
Other features as described in the App from time to time.

We may modify or discontinue any Premium Feature at any time, provided that such changes do not materially and adversely affect the core subscription rights for the current paid period, unless required by law or by platform rules.

5.4 Refunds

Refunds for subscriptions and in-app purchases are generally handled by the applicable app store (Apple App Store or Google Play Store) and are subject to their policies.
Where permitted by the app store, we may consider additional refund requests on a discretionary basis, but we are under no obligation to provide any refund beyond what is required by law or platform policy.

6. User Roles, Limits, and Access

The App may implement different user roles and/or feature limits, such as:

User – Basic access; limited ability to create businesses and radio listings; can create events (subject to limits).
Business Owner – Subscribed users with enhanced features for promotion and listing management.
VIP – Special users granted certain subscription benefits without payment.
Moderator – Users with permissions to review and edit content but not delete accounts or take certain administrative actions.
Admin – Users with full administrative privileges.

Feature and content limits (for example, how many businesses or radios a free user can create) are described in the App and may be updated from time to time. The existence and description of user roles in these Terms do not guarantee continued availability of any specific role or feature.

7. Intellectual Property

7.1 Our Rights

The App, including its design, software, features, user interface, logos, trademarks, and all related intellectual property rights, are owned by or licensed to Ayisyen Konekte.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use (or for your legitimate business use within the intended scope of the App).
You may not copy, modify, distribute, sell, or lease any part of the App, nor may you reverse engineer or attempt to extract the source code, except as permitted by law or with our written permission.

7.2 Your Rights in User Content

As between you and Ayisyen Konekte, you retain ownership of your User Content, subject to the license granted in Section 4.1.

If you believe that any content on the App infringes your intellectual property rights, please contact us at support@ayisyenkonekte.com with sufficient detail so we can evaluate and, if appropriate, remove or disable the allegedly infringing material.

8. Prohibited Activities

You agree not to:

Use the App for any unlawful purpose or in violation of any applicable law or regulation;
Access or attempt to access accounts or data of other users without authorization;
Use any automated system (including bots, crawlers, or scrapers) to access the App, except for search engine indexing as permitted by our robots.txt (if any);
Interfere with or disrupt the operation of the App or servers or networks connected to the App;
Introduce viruses, malware, or other harmful code;
Attempt to bypass or interfere with security features or access controls;
Remove, alter, or obscure any copyright, trademark, or proprietary notices on or in the App;
Use the App in a manner that could damage, disable, overburden, or impair our systems.

We may investigate and take appropriate legal action for any violation of this Section, including suspension or termination of your account.

9. Third-Party Services and Integrations

The App integrates or may integrate with third-party services and tools, including but not limited to:

Firebase (authentication, database, storage, analytics, crash reporting, messaging);
Google Maps (location and map services);
RevenueCat (subscription management and entitlement verification);
Google Sign-In and Apple Sign-In;
Meta SDK (for analytics and advertising-related tools);
Google Ads and related advertising/measurement services;
Email marketing providers (for newsletters and promotional messages).

Your use of such third-party services is subject to their own terms and privacy policies. We are not responsible for, and make no representations or warranties regarding, any third-party services or content.

10. Disclaimers

10.1 Service Availability

We do not guarantee that the App (or any feature) will be available at all times or without interruptions.
We may suspend, modify, or discontinue the App or any portion thereof at any time, with or without notice, for maintenance, upgrades, security, legal, or business reasons.

10.2 Content Accuracy

The App includes User Content (such as business listings, events, radio streams, and job postings) that is provided by other users or third parties.
We do not systematically verify or endorse the accuracy, completeness, or reliability of any User Content or third-party content.
You rely on such content at your own risk.

10.3 No Professional Advice

Information available through the App is for general informational purposes only and does not constitute professional, legal, financial, employment, or other advice. You should not rely on such information as a substitute for professional advice.

10.4 "As Is" Disclaimer

THE APP AND ALL CONTENT THEREIN ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYISIYEN KONEKTE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:

YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP;
ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY;
ANY CONTENT OBTAINED FROM THE APP; OR
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA,

WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.

To the extent permitted by law, our total aggregate liability in connection with the App or these Terms will not exceed the greater of (a) the amount you have paid to us (if any) in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Ayisyen Konekte LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of or access to the App;
Your violation of these Terms or any applicable law or regulation;
Your violation of any rights of another person or entity;
Your User Content, including any claim that it infringes or misappropriates any third-party right.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our reasonable requests in conducting such defense.

13. Termination and Suspension

13.1 By You

You may stop using the App at any time. You may also delete your account through the App (where such feature is available).

13.2 By Us

We may suspend or terminate your access to the App (in whole or in part), with or without notice, if:

We reasonably believe you have violated these Terms or applicable law;
You engage in fraudulent or abusive behavior;
We are required to do so by law or by a third-party platform;
We discontinue the App.

Upon termination, your right to use the App will immediately cease. Certain provisions of these Terms (including, without limitation, those regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.

14. Changes to These Terms

We may revise these Terms from time to time.

When we do, we will update the "Last Updated" date at the top of this page.
For material changes, we may also provide additional notice (for example, in-App notifications or email), where required by law.

By continuing to access or use the App after revised Terms become effective, you agree to be bound by the updated Terms. If you do not agree, you must stop using the App.

15. Governing Law

These Terms and any dispute arising out of or in connection with them or the App shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles.

16. Dispute Resolution

Before initiating formal legal proceedings, you agree to first contact us at support@ayisyenkonekte.com and attempt to resolve the dispute informally in good faith.

If we are unable to resolve the dispute informally within a reasonable period (typically 30 days), then, except where prohibited by law:

The dispute shall be resolved by binding arbitration administered by a recognized arbitration provider under its applicable rules;
Arbitration will be conducted on an individual basis, and you and Ayisyen Konekte each waive the right to a trial by jury or to participate in a class or representative action;
The seat or legal place of arbitration shall be in the State of Florida, unless otherwise agreed by the parties or required by law.

Nothing in this Section limits either party's right to seek provisional or injunctive relief in a court of competent jurisdiction, or to bring an individual action in small-claims court where permitted.

Some jurisdictions do not allow mandatory arbitration or certain waivers. If any part of this Section is found unenforceable, that part will be severed, and the remaining provisions will remain in effect.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and Ayisyen Konekte LLC regarding your use of the App and supersede all prior or contemporaneous agreements, understandings, or communications.
